Any features, timelines, deliverables, milestones, usage rights, formats, and revision rounds are subject to the applicable proposal, estimate, statement of work, purchase order, or written agreement accepted by both parties.
3. User Obligations and Responsibilities
You agree to provide timely cooperation and accurate information necessary for us to perform the services. Your responsibilities include, without limitation:
- providing complete, accurate, and lawful project brief materials, references, assets, and instructions;
- ensuring that all content, materials, trademarks, logos, text, footage, music, images, voiceovers, and other items supplied by you do not infringe the rights of any third party;
- obtaining all necessary permissions, releases, consents, licenses, and approvals for materials you provide or require us to use;
- reviewing and approving drafts, animations, and deliverables in a timely manner;
- maintaining backup copies of any materials you share with us;
- paying all fees and charges when due;
- not using our services or deliverables for unlawful, misleading, defamatory, obscene, or infringing purposes.
You are solely responsible for the legal and factual accuracy of content you supply or approve for inclusion in a project. We are not responsible for errors, omissions, or legal issues arising from materials provided or approved by you.
4. Payment Terms and Conditions
All fees are specified in the relevant quotation, proposal, or agreement. Unless otherwise stated in writing:
- a deposit or upfront payment may be required before work begins;
- invoices are payable within the period stated on the invoice;
- all amounts are exclusive of applicable taxes, VAT, duties, bank charges, and similar governmental charges unless expressly stated otherwise;
- work may be paused or suspended if payment is overdue;
- late payments may accrue interest and/or reasonable debt recovery costs to the maximum extent permitted by applicable law;
- all deliverables remain subject to payment in full unless otherwise agreed in writing.
If project scope changes due to revised instructions, additional deliverables, extra revisions, delayed feedback, or new requirements, we may issue a revised estimate or additional charges. Any third-party costs, including stock assets, licensing, voice talent, music, software, courier fees, or specialist services, will be charged separately unless expressly included.
5. Cancellation and Refund Policy
You may request cancellation of a project by written notice. Cancellation terms depend on the stage of work completed and any commitments already made. Unless otherwise agreed in writing:
- deposits are non-refundable once work has commenced, except where required by applicable law;
- you remain responsible for all work completed, expenses incurred, and third-party costs committed up to the cancellation date;
- if a project is cancelled after substantial work has been completed, we may invoice for the portion of work performed on a time-spent, milestone, or pro-rata basis;
- approved stages, delivered files, and reserved production resources are not refundable;
- refunds, if any, are issued only at our reasonable discretion or where required by law.
Where a delay is caused by your failure to provide feedback, assets, approvals, or payments, the project may be placed on hold and may be subject to rescheduling or cancellation without refund for work already performed.
6. Liability Limitations
To the fullest extent permitted by applicable law, Lighthouse Frame Animation Studio Ltd shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary losses arising out of or in connection with the services, including loss of profits, loss of revenue, loss of goodwill, business interruption, or loss of anticipated savings.
We do not guarantee that any creative work will achieve specific commercial, marketing, audience, or performance outcomes. Creative services are subjective, and reasonable artistic judgments, style choices, and production decisions are part of the service.
Our total aggregate liability arising out of or relating to any project, contract, or use of our services shall be limited to the total fees actually paid by you to us for the specific services giving rise to the claim, except where a greater liability cannot be excluded under applicable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing materials, working methods, templates, tools, software, processes, know-how, and creative techniques used by Lighthouse Frame Animation Studio Ltd remain our property or the property of our licensors.
Subject to full payment of all amounts due, and unless the relevant agreement states otherwise, you will receive the usage rights expressly set out in the applicable project agreement for the final approved deliverables. Any rights not expressly granted are reserved.
We may retain rights to:
- our underlying methodologies and production assets;
- drafts, tests, concepts, unused proposals, and rejected material;
- general skills, experience, and creative know-how developed during the project.
You grant us a non-exclusive right to use materials you provide solely to the extent necessary to perform the services. You represent that you have all rights required to provide those materials.
Unless you opt out in writing, we may display non-confidential project work, stills, clips, and client names in our portfolio, website, showreel, awards submissions, and promotional materials, provided such use does not disclose confidential information or violate any agreed restrictions.
8. Data Protection and Privacy
We will handle personal data in accordance with applicable data protection and privacy laws. We may collect, use, store, and process personal information only to the extent necessary to provide our services, manage client relationships, issue invoices, improve operations, comply with legal obligations, and protect our legitimate business interests.
You acknowledge that project materials may contain personal data, including names, contact details, likenesses, voice recordings, or other identifying information. You are responsible for ensuring that any personal data you provide to us is collected and shared lawfully and with the appropriate notices, consents, or legal basis.
We may engage trusted third-party service providers, such as cloud storage, communication tools, accounting services, or production software, where reasonably necessary for service delivery. We will take reasonable steps to protect personal data, but no online transmission or electronic storage method is entirely secure.

9. Force Majeure

If a force majeure event occurs, our obligations will be suspended for the duration of the event and for a reasonable recovery period thereafter. Where the event continues for an extended period, either party may terminate the affected project by written notice, subject to payment for work completed and expenses incurred up to the termination date.

Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to any revised Terms, you must stop using our services and notify us in writing if you have an active project, subject to any surviving obligations.
11. Applicable Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or relating to these Terms, the services, or any related contract, unless mandatory law requires otherwise.

13. Severability Clause
